What is $CPRO?
$CPRO is the token that powers features inside the Cryptonite ecosystem. Before TGE, CPRO exists as virtual balances inside Cryptonite’s internal ledger; after TGE, eligible balances may be converted into on-chain $CPRO. It does not represent equity or ownership in Cryptonite.

What is virtual CPRO before TGE?
Virtual CPRO is an internal balance inside Cryptonite before TGE. It can be used only within the platform for eligible features like rewards, tips, subscriptions, and discounts. It is not an on-chain token and cannot be withdrawn or transferred to external wallets until after TGE.

Is buying $CPRO risky?
Yes. Token prices are volatile and could fall to zero. There is no guarantee of future listings, liquidity, or price appreciation, so only buy what you can afford to lose.

How do I buy during the pre-sale?
You can buy through the checkout flow using the payment methods shown there, which may include card, bank transfer, or crypto like USDC or SOL. Supported countries and any partner details will also be shown during purchase.

How much can I buy?
The pre-sale limit is $10,000 USD equivalent per purchaser in total, unless we state otherwise. Any minimums or special limits will be shown at checkout.

When and how will I receive my tokens?
Eligible pre-sale buyers will receive virtual CPRO in their Cryptonite wallet before TGE. At or shortly before TGE, Cryptonite will take a snapshot and implement a claim or conversion process so eligible virtual balances may be exchanged for on-chain $CPRO. Timing may vary depending on verification and system availability.

Can I transfer $CPRO out of the app right away?
No. Before TGE, CPRO is only available as a virtual balance inside the app and cannot be withdrawn or sent to external wallets. External transfers and withdrawals may be enabled only after TGE and after required compliance and technical conditions are met.

Will I need to do KYC?
Yes, KYC/AML verification is required for withdrawals, large transactions, or wherever the law requires it. We may also block purchases or withdrawals from restricted or sanctioned jurisdictions.

What about taxes?
You are responsible for any taxes or reporting related to buying, holding, or selling $CPRO. We may provide receipts or transaction records, but we do not give tax advice.

How does the token supply and vesting work?
The total supply is capped at 21 billion $CPRO. More than 60% of supply, mainly the Growth Fund and Treasury/Rewards pool, vests linearly over 12+ years, and founders/advisors have multi-year vesting.

How will liquidity and listings work?
Initial liquidity will be on Solana DEXs such as Raydium, and we plan phased listings on regulated centralized exchanges over time. Listings and prices are not guaranteed.

What security measures are in place?
We plan third-party audits and a bug bounty program for the smart contracts and related systems. Even so, smart-contract and custody risks still exist.

What if the sale is cancelled or delayed — can I get a refund?

The reinvention of the Democratic Party

Our Call: Plea for Dems to ditch the elites and Super Donor class, and return to its peace and freedom-loving, working-class roots.

How We Did: This was more of an appeal than a prediction, but either way, it didn’t come true. Simply put, US citizens (as documented by Gallup Polls since 1999), no longer, and will never again, trust centralized institutions. In other words, the ‘We know better for you than you know for yourself’ smugness and cozying up to bored, aging actors, and people who live behind high walls surrounded by people with guns is political suicide.

The politics that will win in the New Era will provide a roadmap to returning power and privacy to The People. With dApps, AI, and the Bitcoin metaphor to power us, it will happen. That we promise. It took us 20 years to take-down corporate media led by YouTube and X (founded in 2005, and 2006 respectively)—and we think we can cut this timeline in half if not much less.

Our advice: We collectively need to abandon political labels (we have as a matter of editorial policy) and identifying too closely with any political party brand, as their nature and characterization have changed so dramatically none of the old definitions do not hold up anymore.

Reclaiming our identities back from corporate media, political parties, and the ideological swarms on social media is also a supreme exercise for better mental health, especially in the post-COVID era. Think how free we will feel living by our own talking points built upon our individual journeys, personal experiences, study and imagination.🫠

One other big issue you won’t read in the real-estate reports is the unprecedented escalation of antisemitic incidents in New York in the post-October 2023 period, fueling widespread safety fears within the NYC community of 960,000 Jews. Is the incoming administration going to keep a steady eye on this crisis? We sadly bet no.

NYC will inevitably learn yet another huge lesson about why the Socialist model of centralized control and its inherent lack of incentives and efficiency has never worked and will stage yet another comeback. Introduction

These Terms govern the acquisition, use, and transfer of Cryptonite PRO (“CPRO” or “$CPRO”) tokens issued by Cryptonite, Inc. (“Cryptonite,” “we,” or “us”) on the Solana blockchain. By purchasing, receiving, or using $CPRO, you agree to these Terms. Please read them carefully and seek independent legal, tax, or financial advice if you have questions.

Nature of the Token; No Advice

Cryptonite currently intends $CPRO to function as a utility token that enables access to platform features and economic interactions within the Cryptonite ecosystem. This characterization reflects Cryptonite’s present intent and is not legal, tax, or investment advice. Regulatory authorities may interpret tokens differently; purchasers must obtain independent counsel if they require legal certainty.

Pre-TGE Virtual CPRO

Once v0.5 is launched, eligible $CPRO purchasers will receive virtual CPRO in their Cryptonite wallets. Before TGE, all CPRO existing on the Cryptonite platform are virtual balances recorded in Cryptonite’s internal database ledger and are not on-chain tokens. Virtual CPRO may be issued by Cryptonite as rewards, earned through activity, or transferred between members inside the platform for permitted in-app uses, including tips, subscriptions, discounts, and other features we may make available. Virtual CPRO cannot be withdrawn, exported, or transferred to external wallets before TGE.

At or shortly before TGE, Cryptonite will take a snapshot of eligible virtual CPRO balances and implement a claim or conversion mechanism so that qualifying balances may be exchanged for on-chain $CPRO tokens. The timing, eligibility rules, conversion ratio, technical process, and any compliance requirements will be published in advance. Cryptonite may exclude balances that are fraudulent, duplicated, locked, reversed, associated with policy violations, or otherwise ineligible under these Terms.

Purchasing $CPRO is speculative and involves significant risks. Token value is volatile and may fall to zero. There is no guarantee of a public listing, market liquidity, or future price appreciation. Cryptonite will publish a withdrawal schedule and conditions before enabling external transfers.

• Transfer restrictions: Cryptonite may impose soft or hard transfer restrictions, lockups, or vesting on certain allocations (including liquidity or treasury allocations) to support long-term stability.

Vesting, Distribution & Liquidity

• Vesting: Over 60% of supply (primarily Growth Fund and Treasury/Rewards) will vest linearly over 12+ years. Founders, advisors, and partners are subject to multi‑year vesting schedules. Detailed allocation and vesting schedules will be published on-chain via Streamflow and on our public dashboard.

• Liquidity: Initial liquidity will be provided on Solana DEXs (Raydium pool described publicly). Cryptonite plans phased listings on regulated centralized exchanges as adoption and compliance milestones are met.

KYC, AML, Sanctions, and Restricted Jurisdictions

• KYC/AML: Cryptonite requires identity verification for withdrawals, large transactions, or as required by law. Purchasers must provide accurate information and documentation when requested.

• Sanctions and restricted jurisdictions: Purchases or withdrawals from sanctioned jurisdictions or persons may be blocked, reversed, or refused. Cryptonite reserves the right to refuse service, cancel purchases, or take remedial action to comply with applicable law.

Security, Audits, and Bug Bounty

• Audits: Smart contracts and relevant infrastructure will be subject to third‑party security audits prior to mainnet launch. Audit reports will be published when available.

• Bug bounty: Cryptonite will operate a bug‑bounty program to incentivize responsible vulnerability disclosure.

• Liability cap: To the maximum extent permitted by law, Cryptonite’s aggregate liability arising from these Terms or token-related losses is limited to the purchase amount paid by the purchaser. Cryptonite is not liable for indirect, incidental, or consequential damages.

Refunds, Cancellations, and Delays

• Refund policy: Pre‑sale purchases are generally final. If Cryptonite elects to cancel the sale or refund a purchaser for any reason, refunds will be processed to the original payment method within a reasonable timeframe (up to 30 days), subject to fees, exchange rate fluctuations, and crypto network constraints. Cryptonite reserves discretion to determine refund eligibility consistent with applicable law.

Taxes and Reporting

Purchasers are solely responsible for all taxes and reporting obligations arising from token purchases, ownership, or transfers. Cryptonite may provide transaction records or receipts but does not provide tax advice. Consult a tax professional for guidance relevant to your jurisdiction.

Intellectual Property and No Equity

Holding $CPRO does not confer ownership of Cryptonite, equity, dividend rights, or entitlement to company assets. $CPRO does not by itself grant any governance rights unless and until Cryptonite implements separate governance mechanisms governed by their own terms.

Amendments and Notices

Cryptonite may amend these Terms for legal, regulatory, or operational reasons. Material changes will be posted to our website and emailed to purchasers at least 14 days before taking effect where practicable. Continued use after the effective date of changes constitutes acceptance.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA. Disputes arising under or related to these Terms will be resolved in accordance with the dispute resolution process described in our full Terms of Service, which may include binding arbitration except where prohibited by law.

Definitions and Glossary

Cryptonite will maintain a simple glossary explaining terms used in this document (TGE, DEX, CEX, Streamflow, Squads, Grok, vesting, liquidity pool, etc.) on the same page to aid non‑technical users.

Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy and the full Terms of Service, comprise the entire agreement between you and Cryptonite regarding $CPRO.

Acceptance

By purchasing, receiving, or using $CPRO, you acknowledge that you have read, understood, and agree to be bound by these Terms.
